This document has two parts. Part I (Legal Notice and Terms of Use) sets out the terms that govern your use of the Web Site. Part II (Privacy Policy) explains how we collect, use, disclose, retain, and protect Personal Information in connection with the Web Site and our related business communications.

All content and materials provided on the Web Site, including but not limited to information, service descriptions, articles, media, documents, text, logos, icons, graphics, images, videos, software, computer code, and services (collectively, the "Materials"), are owned, controlled, or licensed by or to TP CUBIT or to third parties that have licensed Materials to TP CUBIT (collectively, "Third Party Providers") and are protected by copyright, trademark, and other laws. Except as stated in these Terms, none of the Materials may be copied, reproduced, distributed, republished, downloaded, displayed, posted, or transmitted in any form or by any means without the prior express written permission of TP CUBIT. You may not appropriate or copy the general "look and feel" of the Materials or the Web Site.
Nothing on the Web Site shall be construed to confer any license or right under any intellectual property right of TP CUBIT or any Third Party Provider, whether by estoppel, implication, or otherwise. Materials provided by Third Party Providers have not been independently reviewed, tested, certified, or authenticated by TP CUBIT, and TP CUBIT makes no warranty with respect to their contents.
TP CUBIT grants you permission to view, download, and print Materials that TP CUBIT has specifically made available for download from the Web Site, provided that: (1) the copyright notice and this permission notice appear on all copies; (2) the Materials are used solely for personal, non-commercial, and informational purposes and are not copied or posted on any networked computer, broadcast in any media, or used for commercial gain; and (3) the Materials are not modified in any way. TP CUBIT is not responsible for, and does not endorse or accept any responsibility for, the contents, privacy practices, or use of these third-party websites. Links are provided only as a convenience, and the inclusion of any link does not imply endorsement by TP CUBIT. It is your responsibility to take precautions to ensure that whatever third-party content you access is free of viruses or other harmful items.
If you voluntarily provide TP CUBIT with comments, suggestions, ideas, or other feedback about the Web Site or our services ("Feedback"), you agree that TP CUBIT may use that Feedback for any lawful business purpose without compensation or further obligation to you, and you represent that you have the right to provide it.
Feedback does not include Personal Information or business information that you submit through a contact form, service inquiry, or other communication with TP CUBIT. That information is handled in accordance with the Privacy Policy in Part II and, where applicable, the confidentiality terms of an engagement letter or other written agreement with TP CUBIT. Please do not submit confidential or sensitive information through the Web Site unless TP CUBIT has specifically requested it and provided a method for doing so.
The Materials, including articles and blog posts, are provided for general informational purposes only. They do not constitute tax, legal, accounting, or other professional advice, do not take into account your particular facts and circumstances, and should not be relied upon as a substitute for advice from a qualified professional. Transfer pricing rules vary by jurisdiction and change over time; the Materials may not reflect the most current developments. Use of the Web Site, submission of an inquiry, or communication with TP CUBIT does not create a client or professional-services relationship. Such a relationship is established only through a written engagement letter signed by TP CUBIT.
Except where expressly provided otherwise by TP CUBIT in writing, the Web Site and the Materials are provided "as is" and "as available," and TP CUBIT disclaims all express or implied representations, warranties, guaranties, and conditions, including any implied warranties or conditions of merchantability, fitness for a particular purpose, title, and non-infringement, except to the extent that such disclaimers are held to be legally invalid. TP CUBIT makes no representation, warranty, guaranty, or condition as to the quality, suitability, truth, accuracy, timeliness, or completeness of any of the Materials or that the Web Site will be uninterrupted, secure, or free of errors, viruses, or other harmful components.
To the fullest extent permitted by applicable law, TP CUBIT and its members, managers, officers, employees, agents, affiliates, successors, and assigns shall not be liable for any indirect, punitive, special, incidental, or consequential damages (including but not limited to loss of business, revenue, profits, use, data, or other economic advantage), however arising, whether in an action of contract, negligence, or other tortious action, arising out of or in connection with the use of, or inability to use, the Web Site or the Materials, even if TP CUBIT has been advised of the possibility of such damages. TP CUBIT respects the intellectual property rights of others. TP CUBIT may, in appropriate circumstances and at its sole discretion, remove content or terminate the access of users who infringe the copyrights or other intellectual property rights of others.

These Terms and any dispute arising out of or relating to these Terms or your use of the Web Site are governed by the laws of the State of Florida and applicable U.S. federal law, without regard to conflict-of-law principles. To the extent permitted by applicable law, you agree that any such dispute shall be brought exclusively in the state or federal courts located in Broward County, Florida, and you consent to the personal jurisdiction of and venue in those courts. If you access the Web Site from outside the United States, you do so on your own initiative and are responsible for compliance with local laws; nothing in this Section deprives you of the protection of mandatory consumer-protection provisions of the law of your country of residence where those provisions cannot be excluded by agreement.
If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect. TP CUBIT's failure to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other provision. These Terms, together with the Privacy Policy in Part II, constitute the entire agreement between you and TP CUBIT regarding your use of the Web Site and supersede any prior understandings regarding that subject matter. These Terms do not alter the terms of any engagement letter or other written agreement between you (or your organization) and TP CUBIT, which will govern in the event of a conflict with respect to the services covered by that agreement.
This Privacy Policy explains how TP CUBIT collects, uses, discloses, retains, and protects Personal Information in connection with the Web Site, our business communications and inquiries, and our marketing activities.
TP CUBIT is established in the United States. Because our services and professional relationships may involve businesses and advisers in multiple countries, Personal Information may be collected from individuals located in the United States and in other jurisdictions. This Privacy Policy applies to that Personal Information, subject to applicable law.
Personal Information that TP CUBIT receives from a client in the course of a transfer pricing engagement (for example, the names and contact details of client personnel or information contained in client documents) is governed primarily by the engagement letter, confidentiality obligations, and any data-processing terms agreed with that client. This Privacy Policy applies to such information only to the extent it is not inconsistent with those terms.
"Personal Information" means information that identifies, relates to, describes, or is reasonably capable of being associated with an identified or identifiable individual. It does not include aggregated or de-identified information that cannot reasonably be linked to an individual.
We collect Personal Information from the following sources and in the following categories.
Information you provide directly to us. When you complete a contact or inquiry form on the Web Site, send us an email, call us, request information about our services, or otherwise communicate with us, we collect the information you choose to provide. Through the Web Site forms, this typically includes your name, company or organization, business email address, telephone number, the subject of your inquiry, and the content of your message. You may also provide additional information, such as your job title or business address, in the course of subsequent communications.
Information collected automatically. When you visit the Web Site, our website platform and, if you consent to analytics cookies, our analytics provider collect technical and usage information, such as your IP address, browser type and version, device type and operating system, referring website, the pages you view, the dates and times of your visits, and general interaction information. Approximate geographic location (for example, city or region) may be inferred from your IP address. TP CUBIT does not collect precise geolocation information (such as GPS-based location) through the Web Site.
Information from other sources. In the course of our business, we may receive Personal Information about business contacts from clients, professional advisers, business partners, or referral sources; from publicly available professional sources, such as company websites or professional-networking profiles; and from event organizers or industry associations, in each case as permitted by applicable law.
We do not intentionally collect sensitive Personal Information (such as government identification numbers, financial account numbers, health information, or information revealing racial or ethnic origin, religious beliefs, or similar categories) through the Web Site. Please do not submit such information through the Web Site unless TP CUBIT has specifically requested it and provided a secure method for doing so.

TP CUBIT may send you information about our services, insights, publications, or events that we believe may be of professional interest to you. We do this where permitted by applicable law, which may include sending communications to existing clients and to business contacts who have inquired about our services, and we will obtain your consent before sending marketing communications where consent is required by the law applicable to you. Submitting an inquiry through the Web Site does not, by itself, constitute consent to receive marketing communications where such consent is legally required.
You may opt out of marketing communications at any time by using the unsubscribe link included in our marketing emails or by contacting us at amaciasvaldes@tpcubit.com. We will process your request within a reasonable period and in any event within the time required by applicable law. Opting out of marketing communications does not prevent us from sending non-promotional communications, such as responses to your inquiries, communications relating to an engagement, or notices concerning this Privacy Policy or our Terms.
TP CUBIT is based in the United States, and the Web Site and our business systems are hosted and operated through service providers located primarily in the United States. Some service providers may use content-delivery networks or support personnel located in other countries. As a result, Personal Information collected through the Web Site or in connection with our services may be processed, stored, or accessed in the United States and in other countries whose data-protection laws may differ from those of your country of residence.
If you provide Personal Information to us from outside the United States, you understand that it will be processed in the United States as described in this Privacy Policy. Where an international transfer of Personal Information is subject to specific legal requirements, TP CUBIT will rely on an appropriate transfer mechanism recognized by the applicable law. Depending on the circumstances, this may include the recipient's reliance on an adequacy decision or data-protection framework, standard contractual clauses approved by the relevant authority (such as the European Commission's Standard Contractual Clauses or the UK International Data Transfer Addendum), or another valid mechanism. The mechanism used, if any, depends on the nature of the transfer, the applicable law, and the parties involved; transfers made in the course of a client engagement are addressed in the engagement letter or data-processing terms agreed with that client. You may contact us using the details in Section 19 for further information about the safeguards applied to a particular transfer.
TP CUBIT uses reasonable administrative, technical, and physical safeguards designed to protect Personal Information against unauthorized access, use, alteration, loss, and disclosure. These include transmission of the Web Site over HTTPS (TLS encryption), use of reputable service providers that maintain their own security programs, and access controls on our business systems. No method of transmission over the internet or method of electronic storage is completely secure, and we cannot guarantee absolute security. If you have reason to believe that your interaction with us is no longer secure, please contact us immediately using the details in Section 19. In the event of a security incident affecting your Personal Information, we will notify you and the applicable authorities where and as required by law, including the Florida Information Protection Act.
We retain Personal Information for as long as reasonably necessary for the purposes described in this Privacy Policy, including to respond to inquiries, maintain business records, provide services, comply with legal, regulatory, tax, and professional obligations, resolve disputes, prevent fraud, and enforce our agreements.
Unsolicited, automated, or spam submissions received through the Web Site or by email are deleted promptly and are not added to any contact list or marketing database. For genuine Web Site inquiries and prospective-client contacts, our general target retention period is twenty-four (24) months after our last meaningful interaction with you, unless a longer period is necessary or permitted for a legal, contractual, operational, or records-management reason. Personal Information related to a client engagement is retained in accordance with the engagement letter and our professional record-retention obligations. Analytics information is retained in accordance with the retention settings of our analytics provider. When Personal Information is deleted from our active systems, residual copies may remain in backups or archival systems for a limited period before being overwritten or deleted in accordance with our service providers' backup and retention practices.
The Web Site is directed to business professionals and is not directed to children. TP CUBIT does not knowingly collect Personal Information from children under 13 years of age (or under a higher age where applicable law sets one). If you believe that a child has provided Personal Information to us through the Web Site, please contact us at amaciasvaldes@tpcubit.com so that we can delete it.
The Web Site may contain links to websites and services operated by third parties, including social-media platforms and professional-networking sites. Those websites and services are not controlled by TP CUBIT, and this Privacy Policy does not apply to them. Please include your name, your country (and, if applicable, state) of residence, the nature of your request, and sufficient information for us to verify your identity and locate the relevant information. We may ask you for additional information to verify your identity before acting on a request, and an authorized agent submitting a request on your behalf may be asked to provide evidence of that authority.
We will respond to verified requests within the time required by applicable law. We may decline or limit a request only where permitted by applicable law, for example where the information must be retained to comply with a legal or professional obligation, to complete a transaction or engagement you have requested, to establish, exercise, or defend legal claims, or to protect security. If we decline a request, we will explain the reasons, and, where applicable law provides a right of appeal, we will explain how to appeal. This Section provides additional information that applies where TP CUBIT's processing of your Personal Information is subject to the EU General Data Protection Regulation ("GDPR"), the UK GDPR and Data Protection Act 2018, or the Swiss Federal Act on Data Protection. TP CUBIT is established in the United States and provides services to businesses and professional firms that may operate across multiple jurisdictions. Where these laws apply to a particular processing activity, TP CUBIT will process your Personal Information in accordance with the requirements applicable to that processing.
Controller. For Personal Information collected through the Web Site and our business communications, TP CUBIT, LLC, 4285 Diamond Dr, Weston, FL 33331, United States, is the controller. For Personal Information processed on behalf of a client in the course of an engagement, TP CUBIT may act as a processor, and the client's privacy notice and our engagement terms will apply.

Your rights. You have the rights described in Section 13, including the rights of access, rectification, erasure, restriction, objection (including an absolute right to object to direct marketing), data portability, and withdrawal of consent. International transfers. Personal Information that you provide to us is processed in the United States, as described in Section 8. Where we transfer Personal Information subject to these laws to a recipient in a country that has not been recognized as providing adequate protection, we will rely on an appropriate safeguard, such as the European Commission's Standard Contractual Clauses (with the UK Addendum or Swiss adaptations where applicable) or the recipient's participation in a recognized data-protection framework. Complaints. If you believe that our processing of your Personal Information infringes applicable data-protection law, you have the right to lodge a complaint with the supervisory authority of the EU or EEA member state of your habitual residence, place of work, or the place of the alleged infringement; with the Information Commissioner's Office in the United Kingdom; or with the Federal Data Protection and Information Commissioner in Switzerland. We would appreciate the opportunity to address your concern before you contact a supervisory authority.
Certain U.S. states have enacted comprehensive privacy laws that apply to businesses meeting specified thresholds (for example, thresholds based on annual revenue or the number of consumers whose personal data is processed). Where such a law applies to TP CUBIT and to you, you may have the rights described in Section 13, including the rights to access, correct, delete, and obtain a portable copy of your Personal Information; to opt out of the sale of Personal Information, the sharing or processing of Personal Information for targeted advertising, and certain profiling; to limit the use of sensitive Personal Information; not to be discriminated against for exercising your rights; and to appeal a decision on your request.
TP CUBIT does not sell Personal Information, does not use advertising or retargeting technologies on the Web Site, does not use information collected through our web-analytics provider for advertising purposes, and does not otherwise process Personal Information for targeted advertising or for cross-context behavioral advertising, does not engage in profiling that produces legal or similarly significant effects, and does not collect sensitive Personal Information through the Web Site. Accordingly, no opt-out mechanism for those activities is currently required; you may nevertheless contact us at any time with questions or requests using the details in Section 19.
California's"Shine the Light" law gives certain California residents the right torequest information about Personal Information disclosed to third parties forthose third parties' direct-marketing purposes. TP CUBIT does not disclosePersonal Information to third parties for their own direct-marketing purposes.
For California residents, the categories of Personal Information we have collected in the preceding twelve months, the sources of that information, the purposes for which we use it, and the categories of third parties to which we disclose it are described in Sections 2, 3, and 6. Information about our response to "Do Not Track" and opt-out preference signals is provided in Section 5.
Privacy laws in other countries and regions (including, for example, Canada, Latin American countries, and jurisdictions in Asia and the Pacific) may provide you with rights or protections in addition to those described in this Privacy Policy. If a privacy law applicable to you grants you rights not described here, you may submit a request using the contact details in Section 19, identifying your country of residence and the right you wish to exercise. TP CUBIT will evaluate and respond to the request as required by the applicable law.
